What we did
Renegotiated the lease and infrastructure annexes, secured EPE registration, and sequenced construction, fire-safety and environmental permits against the production start date.
Production started on the customer-committed date; duty exemptions applied from the first shipment.

Acquisition of a majority stake in a local trading company

The situation
Diligence surfaced unregistered land use, informal employment arrangements and a related-party supply contract that carried the group's margin.
What we did
Rebuilt the risk register, converted findings into price adjustment and indemnity language, and ran the M&A approval and share-transfer filings.
Closed with a reduced purchase price and a 24-month escrow tied to the diligence findings.

Localised the group's LkSG questionnaire, ran on-site legal reviews, and drafted a Vietnamese-law-compliant contract cascade with remediation clauses.
