The situation

A tier-one supplier had signed a letter of intent on a plot before checking whether the park could support its planned export processing status and effluent load.

What we did

Renegotiated the lease and infrastructure annexes, secured EPE registration, and sequenced construction, fire-safety and environmental permits against the production start date.

Production started on the customer-committed date; duty exemptions applied from the first shipment.

Corporate & M&A

Acquisition of a majority stake in a local trading company

The situation

Diligence surfaced unregistered land use, informal employment arrangements and a related-party supply contract that carried the group's margin.

What we did

Rebuilt the risk register, converted findings into price adjustment and indemnity language, and ran the M&A approval and share-transfer filings.

Closed with a reduced purchase price and a 24-month escrow tied to the diligence findings.

European software group, first Vietnamese entity

The situation

The group wanted a delivery centre quickly, but the intended business lines mixed unconditional IT services with conditional distribution activity.

What we did

Split the scope into an unconditional core plus a staged licence for the conditional line, and set up personal-data documentation before the first hire.

Entity operating in nine weeks; second-phase licence added without restructuring.

Workforce restructuring at a consumer-goods manufacturer

Supply-chain due diligence for a German group under LkSG

The situation

Twelve Vietnamese suppliers had to be assessed and contractually bound within one reporting year.

What we did

Localised the group's LkSG questionnaire, ran on-site legal reviews, and drafted a Vietnamese-law-compliant contract cascade with remediation clauses.

Reporting evidence delivered on time; two high-risk suppliers remediated rather than lost.

What we did

Filed for arbitration with interim measures, secured document access, and reconstructed the diverted revenue through forensic review.
